ParGo AI Terms of Use

By accessing the Services, you agree to enter into a legally binding contract ("Terms of Use") with ParGo AI.

During the term of your subscription to a ParGo AI Service, you are permitted to use such Service subject to the terms and conditions of these Terms of Use, including full payment of all fees and other amounts owed to ParGo AI. If you entered into a separate written software subscription, service, or other agreement or order form with ParGo AI in connection with the Service (each, a "Client Agreement"), then your usage of the Service shall be in accordance with the terms of your Client Agreement and these Terms.

When using the Services, you may have the opportunity to leave the ParGo AI Services in order to access and download additional content provided by third-parties, including software, data, and imagery, as more fully described in Article 6.3 herein. You acknowledge that third-party content is solely the responsibility of the third-party content provider. These Terms of Use do not convey to you any rights to access or use third-party content (including copying, distributing, creating derivative works from, or publicly displaying). Access and use of third-party content may require that you agree to different or separate terms, conditions, and restrictions. Agreeing to any such terms and conditions will be between you and the third-party content provider, and will not affect these Terms of Use or any separate agreements you may have with ParGo AI.

ParGo AI reserves the right to change content provided in and access to Services from time to time without notice to you. This may be done at ParGo AI's sole discretion. ParGo AI may also, from time to time, modify or replace these Terms of Use, which may affect your rights to use the Services provided. The revised terms will be made available to you on the ParGo AI websites where the Services are provided. If you object to any changes, you may terminate your subscription. You understand and agree that your accessing or use of Services after the modified or replaced Terms of Use is posted will signify your acceptance to the Terms of Use. You further understand that it is your responsibility to read the current Terms of Use.

The Services provided by ParGo AI and any content provided therein are provided to you subject to these Terms of Use. If you are an authorized subscriber to a Service, you are granted a nonexclusive, nontransferable, and nonsublicensable subscription to use such Service during the term of your subscription. You may only use the Service, including downloading, viewing, copying, and printing information provided through the Services, for your own internal business purposes only unless otherwise specified in writing. The Services may not be reproduced or transmitted for commercial purposes, in any form or by any means, electronic or mechanical, including photocopying and recording, or by any information storage or retrieval system now known or later developed, except as expressly permitted in writing by ParGo AI. You are not permitted to include the Service in any data, product, or service that you sell or otherwise distribute to third parties.

If you are not an authorized subscriber to a Service, you are not permitted, authorized, or licensed to use in any respect such Service. This restriction applies even if you are able to access the Service. SERVICES ARE LICENSED FOR USE ONLY TO LICENSED SUBSCRIBERS.

Any rights not granted herein or otherwise agreed to in writing between you and ParGo AI are prohibited. In particular, you may not (or attempt to) indirectly or directly, or allow any third party to: (a) access Services or resources not made available to you through a standard web browser or ParGo AI products; (b) reverse-engineer, decompile, adapt, access, or hack the Services not made readily available to you (without consideration given to how reasonable the means used are to keep such secure); (c) use Services in such a manner as to adversely affect ParGo AI's or its licensor's commercial interests, including by accessing or using the Services to develop competitive products or services; (d) alter, obstruct, or remove any proprietary rights notices, product or service name, trademarks, or trade names provided with the Services; (e) manually or systematically harvest information contained within the Service (including but not limited to scraping, spiders, robots, crawlers, bypassing "captcha" or similar precautions, or any other automated activity with the purpose of obtaining information from the Services); (f) use Services in for illegal, improper, or inappropriate purposes (including but not limited to defamation or harassment of others, distribution of obscene or indecent material, stalking, in violation of any law, or in violation of the proprietary rights of others); (g) use the Services to violate any right of a third party, including by infringing or misappropriating any third-party intellectual property right; (h) sell, sublicense, relicense, redistribute, convey, transfer or assign the data or access or use rights granted under these Terms of Use to any third party; (i) use the data to create, develop, enhance, or structure any database, or to create models, analytics, derivative products, or other derivative works for resale, external distribution, reproduction, or publication; (j) interfere with, or compromise the system integrity for security of the Services, or otherwise bypass any measures ParGo AI may use to prevent or restrict access to the Services; (k) use any AI-generated outputs, query results, or data derived from the Services to develop, train, fine-tune, or otherwise improve any machine learning model, algorithm, or artificial intelligence system, including any system that competes with ParGo AI or replicates the functionality of the Services; (l) attempt to identify, reconstruct, or reverse-engineer the underlying artificial intelligence models, algorithms, prompts, training data, or methodologies used in or supporting the Services.

Unless otherwise agreed to in writing by ParGo AI or through a purchase approved by ParGo AI, you may not access information on more than five thousand (5,000) parcels of real property per day or export information about more than one thousand five hundred (1,500) parcels per year. Any of the forgoing, whether merely attempted or successfully executed, is a material breach of these Terms of Use.

You represent and warrant that you: (i) are not a title insurance underwriter, agent, or affiliate of a title insurance underwriter or agent; (ii) do not have any affiliation with the following entities: Black Knight, Inc.; CoreLogic, Inc.; CoStar Group, Inc.; DOMA Holdings, Inc.; Experian PLC; First American Data Tree, LLC, Fidelity National Financial, Inc.; Flueid Software Corporation; ServiceLink IP Holding Company, LLC; Stewart Title Guaranty Company; Westcor Land Title Insurance Company; X1 Analytics, Inc.; Zillow, Inc.; or any parent, subsidiary or successor-in-interest entity of any of the foregoing entities.

As between ParGo AI and you, all title to and intellectual property rights in the Services, including without limitation any content, information, and materials accessible within or downloadable from the Service, and any related materials or documentation, are solely the property of ParGo AI or its licensors. ParGo AI owns and retains the right to collect, use in any lawful manner, and disclose aggregated anonymized data, or any other data that is not subject to an obligation of confidentiality, relating to usage of any Services. These Terms of Use do not transfer any rights to redistribute, prepare derivative works from, or acquire ownership interest in the Services.

The design of the Service and all graphics, content, and other material displayed on or that can be downloaded from the Service are protected by copyright, trademark, and other laws and may not be used except as expressly permitted in these Terms, in your Client Agreement, or with ParGo AI's prior written consent. Certain trademarks, trade names, service marks and logos used or displayed in the Service are registered or unregistered trademarks, trade names or service marks of ParGo AI. Other trademarks, trade names, service marks and logos used or displayed in the Service are the property of their respective owners. Nothing contained in the Service grants or should be construed as granting any license or right to use any trademarks, trade names, service marks or logos displayed in the Service without the written consent of the respective owner. Any unauthorized use is a breach of these Terms and may violate copyright laws, trademark laws, laws of privacy and publicity, and other laws and regulations.

Services provided by ParGo AI may contain third-party data and/or imagery. Use of third-party data and/or imagery may be subject to such third party's license agreement or additional use restrictions. You are responsible for compliance with all applicable third-party license agreement(s). Third party use restrictions may be provided with the data (such as with metadata) or under other restrictions. The third-party license agreement(s) and any applicable use restrictions may be modified by ParGo AI from time to time and it is your responsibility to check for updates to these license agreements or use restrictions. If a modification any third-party license agreement, or use restrictions is unacceptable, you may cancel your access upon written notice to ParGo AI or discontinue use of the Service, as applicable. Continued use of the Service will be deemed acceptance of any modifications.

For any content including but not limited to any and all notes, questions, comments, videos, file uploads, or submissions ("User Content"), you post, upload, input, provide or submit ("Submit") to any ParGo AI Service, you represent and warrant that you have all necessary rights, licenses, consents, and permissions to Submit such User Content and that Use of such User Content will not infringe or violate the rights of any third party. By Submitting such User Content, you hereby grant to ParGo AI the right to use your User Content for internal purposes and to improve the Services. You will retain ownership rights in your User Content.

In the event you desire to make use of the content sharing feature of the Services by sharing your searches or results with others, you hereby grant ParGo AI a nonexclusive, revocable, royalty free, worldwide limited license to access, use, store, cache, copy, reproduce, (re) distribute, and (re) transmit your searches and/or results to the selected user(s) of the Services.

ParGo AI's copyright policy is to respond to notices of alleged copyright infringement that comply with applicable international intellectual property law (including, in the United States, the Digital Millennium Copyright Act) and to take-down allegedly infringing materials and/or terminating the accounts of repeat infringers, as applicable.

You may be required pay fees to access certain features of the Services. Fees are based on a per-user basis. All fees are in U.S. dollars and are non-refundable. If ParGo AI changes the fees for all or part of any of the Services, including by adding fees or charges, advance notice will be provided to you of those changes.

The Services may include features that allow for automatically recurring payments for periodic charges ("Subscription Service"). If you decide to activate a Subscription Service, you authorize ParGo AI to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums. The subscription will continue unless and until you cancel your subscription, or ParGo AI terminates it. You must cancel your Subscription Service before it renews in order to avoid billing of the next periodic subscription fee to your account. ParGo AI will bill the periodic subscription fee to the payment method you provide to ParGo AI during registration (or to a different payment method if you change your payment information). ParGo AI may change the subscription fee for any subsequent subscription period but will provide you advance notice of any increase before it applies.

ParGo AI may request certain information, configuration data, or personal information to access select Services or to provide support through this website or Services. ParGo AI will collect and use this information in accordance with our Privacy Policy. You acknowledge and have read our Privacy Policy.

You may not share your log-in credentials with any unauthorized user. You are responsible for maintaining the confidentiality of the password for your account and are fully responsible for all activities that occur under your account unless access to your account number, account name, or password was obtained through no fault or negligence of your own. You agree to the following: (a) you will provide truthful and accurate information at all times when using Services; (b) you understand that using a false or incomplete name or e-mail address, impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity will result in immediate removal of your account and termination of any rights provided herein; (c) you will use the Services for your individual use, and the account's name and e-mail address must be specific to you – your account may not be shared with other users; (d) you understand that sharing account information or allowing others to access your account will result in removal of your account; (e) you will notify ParGo AI of any unauthorized use of your password or account or any other breach of security as soon as you become aware of such use or breach; and (f) you will log off from account at the end of each session.

ParGo AI shall not be liable for any loss or damage arising from your failure to comply with this section.

ParGo AI reserves the right to monitor use of Services and to suspend or cancel your account or access to the Services at any time, or take any other appropriate measures in our legal capacity, to enforce these Terms of Use. If you have your account removed from the Services for not following these Terms of Use, you may not be allowed to return or create an account in the future.

The services and data provided by ParGo AI are provided "as is" and on an "as available" basis without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. In no event shall ParGo AI have any liability with respect to (1) unauthorized use of any Service, (2) access to or use of any Service by a person who is not an authorized subscriber to such Service, (3) use of any prior version of the Service to the extent the liability would have been avoided or mitigated by use of a newer version of the Service made available by ParGo AI prior to the occurrence of the liability, or (4) any breach by any user of these Terms of Use or a Client Agreement. In particular, you understand that ParGo AI and its affiliates do not warrant or represent that the Services and data provided by ParGo AI will be: available to you uninterrupted; entirely secure; complete, accurate, or free from error; or fit to use in your application, for your purposes, or according to your requirements or needs.

ParGo AI is under no obligation to correct any errors or inconsistencies in the Services.

ParGo AI shall not be liable for direct, indirect, special, incidental, or consequential damages related to your access to and use of any of the Services provided on the ParGo AI web site, even if ParGo AI is advised of the possibility of such damage. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy. ParGo AI's maximum liability for use of the Services is limited to the amount paid by you to ParGo AI with respect to the Service that is the subject of the claim during the 12-month period prior to the event giving rise to the claim.

Many links on ParGo AI sites link to web sites owned and operated by third-parties. These web sites are not under ParGo AI's control and ParGo AI is not responsible for information (regardless of how it is transmitted or received) or services provided by third-party Web sites. Any links to third-party Web sites provided on ParGo AI web sites do not imply an endorsement, affiliation, or sponsorship of any kind and do not represent warranties of the quality of services provided by such third-parties.

These Terms of Use shall continue to apply for so long as you use and/or pay for the ParGo AI Services or until terminated by you or ParGo AI.

You may terminate these Terms of Use by: (a) electing not to renew your subscription; or (b) sending a notice to the address provided herein, Attn: Customer Support, or info@pargoai.com, expressing clearly your desire to terminate these Terms of Use ("Termination Letter") and ceasing and discontinuing your use of all Services on or before sending the Termination Letter to ParGo AI. In the event of termination by you, no fees will be refunded. Any continued use of the Services constitutes your acceptance and agreement to these Terms of Use.

ParGo AI may terminate these Terms of Use if: (a) you have breached these Terms of Use through either your action or inaction; (b) you have breached an agreement you have with ParGo AI relating to the use of ParGo AI products or services; (c) ParGo AI discontinues the Services on which these Terms of Use are based; or (d) ParGo AI, at its sole discretion, believes that it is in ParGo AI's best commercial interest to terminate these Terms of Use.

Upon termination of these Terms of Use, all rights and obligations owed by the parties shall cease except for those set forth in Sections 2.3 (Ownership), 3 (Fees), 5 (Indemnification), 6.2 (Limitation of Liability), 7 (Term and Termination), 10.2 (Ownership of AI Outputs), 10.3 (Your Responsibility for AI Outputs), and 11.2 (Prohibition on Data Resale and Redistribution). Those rights and obligations shall continue indefinitely. Upon termination, you agree to return to ParGo AI or destroy all copies of data provided by ParGo AI.

The failure of either party to enforce any provision of these Terms of Use shall not be deemed a waiver of the provisions or of the right of such party thereafter to enforce that or any other provision.

The parties mutually agree that if any provision of these Terms of Use is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make the intent of the language enforceable.

You shall not assign or otherwise transfer your rights or delegate your duties under these Terms of Use without ParGo AI's prior written consent. Any attempt to do so without ParGo AI's consent shall be void. ParGo AI may assign these Terms of Use and any rights hereunder to any successor or assign.

The laws of the State of Florida govern your relationship with ParGo AI under these Terms of Use and shall be construed according to those laws without regard to conflict of laws principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the Saint John's County in State of Florida. Notice to ParGo AI shall only be proper if made by certified mail at the address provided herein. In the event any provision of these Terms of Use is determined by a court to be unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be deemed modified to the minimum extent necessary to result in its enforceability.

You agree that your breach of these Terms of Use may cause irreparable damage and that, in the event of such breach, in addition to any and all remedies at law, ParGo AI shall have the right to seek an injunction, specific performance, or other equitable relief in any court of competent jurisdiction without the requirement of posting a bond or undertaking or proving injury as a condition for relief.

These Terms of Use constitute the sole and entire agreement between the parties relating to your use of the Services; supersede any previous agreements, understandings, and arrangements unless otherwise agreed to in writing by an authorized representative of each party; and, completely replace any existing agreements between the parties related to your use of the Service.

Subject to these Terms of Use, you may access and use parcel data and related information made available through the Services (collectively, "ParGo Data") solely for: (a) your own internal business purposes; (b) internal analysis, research, and decision-making within your organization; and (c) generating reports or analyses for internal use or for direct presentation to your own clients in the normal course of your business, provided that such presentation does not constitute redistribution of ParGo Data as a standalone data product.

You expressly acknowledge and agree that ParGo Data and AI Outputs derived from the Services constitute valuable proprietary and licensed information. Accordingly, you may not, directly or indirectly: (a) sell, resell, license, sublicense, transfer, assign, or otherwise commercially distribute ParGo Data or any substantial portion thereof to any third party; (b) incorporate ParGo Data into any product, database, or service that you make available to third parties for commercial gain; (c) create, develop, or distribute derivative data products, data feeds, analytics products, or any other offering that is substantially derived from or dependent upon ParGo Data; (d) make ParGo Data available through any API, data feed, file transfer, or automated mechanism for access by third parties; or (e) use ParGo Data to populate, enrich, or augment any third-party database, platform, or data product intended for resale or external distribution. Any breach of this Section shall constitute a material breach of these Terms of Use and shall entitle ParGo AI to immediately terminate your access to the Services, in addition to all other remedies available at law or in equity.

Nothing in these Terms of Use restricts ParGo AI's right to collect, use, and disclose aggregated and anonymized data derived from user interactions with the Services, provided such data does not identify you individually or disclose any of your proprietary query content.

ParGo Data is provided for informational purposes only. ParGo AI aggregates data from multiple third-party sources and does not independently verify all ParGo Data. You acknowledge that ParGo Data may contain errors, be incomplete, or reflect information that is not current as of the date of your access. You are solely responsible for independently verifying any ParGo Data before relying on it for transactional, legal, financial, or other material purposes.

ParGo Data may include data licensed to ParGo AI by third-party data providers ("Third-Party Data Providers"). Your access to and use of ParGo Data is subject to, and you agree to comply with, all restrictions imposed by applicable Third-Party Data Provider license terms, including but not limited to parcel access limits set forth above. ParGo AI may update or modify these restrictions at any time to reflect changes in its Third-Party Data Provider obligations, and your continued use of the Services following any such update constitutes your acceptance of the revised restrictions.

The Services incorporate artificial intelligence and machine learning technologies to enable natural language queries and analysis of parcel data ("AI Features"). The outputs, results, analyses, summaries, and other content generated by the AI Features in response to your queries are referred to herein as "AI Outputs." You acknowledge that AI Outputs are generated by probabilistic machine learning systems and may not be accurate, complete, or current. AI Outputs may contain errors, omissions, or material inaccuracies even if they appear detailed or specific. ParGo AI makes no representation or warranty regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any AI Output.

As between ParGo AI and you, subject to your compliance with these Terms of Use and full payment of all applicable fees, ParGo AI hereby assigns to you all right, title, and interest in and to the AI Outputs generated in response to your queries. Notwithstanding the foregoing: (a) ParGo AI retains all rights in the underlying data, models, algorithms, and Services used to generate AI Outputs; (b) AI Outputs that are substantially similar to outputs generated for other users are not exclusively owned by any single user; and (c) ParGo AI retains the right to use anonymized and aggregated AI Output data for purposes of improving the Services and for internal analytics, provided that such use does not identify you or disclose your confidential information.

You are solely responsible for evaluating the accuracy and appropriateness of any AI Output before relying on it for any purpose. You should apply independent professional judgment and, where appropriate, human review before making any business, investment, legal, or financial decision based on AI Outputs. ParGo AI is not liable for any loss or damage arising from your reliance on AI Outputs without such independent verification.

Without limiting the foregoing, you may not: (a) represent AI Outputs as independently verified data or as the opinion of a licensed professional without appropriate qualification or verification; (b) use AI Outputs as a substitute for professional appraisal, legal advice, or any other regulated professional service; or (c) publicly distribute or publish AI Outputs in a manner that misrepresents their source, accuracy, or reliability.

ParGo AI reserves the right to modify, limit, or discontinue any AI Feature at any time without notice. ParGo AI may impose usage limits on AI Features, including limits on the number of queries or volume of AI Outputs generated per subscription period. Any applicable limits will be disclosed in your subscription plan or Client Agreement.
